 Office Of General Counsel

     RBC Office of General Counsel  is to provide legal counsel, services and manage the legal department for RBC and affiliated companies, their boards of directors, officers, and management.

     REPORTS TO: RBC Chairman Of Board and  RBC President

RBC General Counsel Duties and Responsibilities:

1. Advise boards of directors, officers, managers and staff.

2. Fulfill corporate legal needs of RBC and its affiliates.

3. Assist in RBC policy development process and in corporate regulatory matters.

4. Coordinate development of litigation recommendations.

5. Prosecute, defend and represent interests of RBC and its affiliates in judicial, administrative,  and regulatory matters, and further mission of RBC and affiliate companies.

6. Supervise all aspects of legal work by staff and by outside counsel.

7. Prepare and present status reports on legal matters to Chairman, President and boards of directors.

8. Manage all administrative functions of the Office of General Counsel.

RELATIONSHIPS:

     The General Counsel shall communicate with the  Chairman ,President and affected and appropriate staff on all legal matters. The General Counsel is a member of the RBC executive branch and shall communicate with the  RBC managers and affiliated company executives.
